    • You shall not use the Service in any unlawful manner or in any manner that interferes with or disrupts the integrity or performance of the Service and its components.
    • You agree to not send unsolicited e-mails or text messages using Verably. You will not use Verably to communicate anything offensive, to promote anything illegal, harass anyone, or distribute content which is in violation of any other party's rights, including, but not limited to, intellectual property, copyrights and privacy and publicity rights.
    • You are responsible for configuring the system and ensuring it meets the needs of Your organization.
  • Modifications to terms and conditions
    • Verably may amend these Terms and Conditions of Use at any time by posting new Terms and Conditions of Use on the Website.
    • The date on which the Terms and Conditions were last amended is indicated at the beginning of this webpage.
    • The amended Terms and Conditions shall be immediately and automatically effective when posted.
  • Amendments may include, without limitation, additions, deletions or modifications to these Terms and Conditions.
    • Verably will post notice that the Terms and Conditions of Use have been amended on the fronting webpage of the Website located at https://www.verably.com/ for a period of 30 days.
    • You are responsible for reviewing these Terms and Conditions each time that You visit the Website in order to ensure that You are aware of any amendments and that You find them acceptable.

You also agree to indemnify Verably with respect to any third party claims against it regarding the Copyright Materials.
  • Account terms
    • Each person or legal entity may maintain only one account.
    • Your login may only be used by one person - i.e., a single login may not be shared by multiple people. A paid organization account may create separate logins (Administrators) for as many users as its subscription allows.
    • Overall, the number of users must not exceed the number of accounts ordered from Verably. This protects the authenticity of Our Validation infrastructure.
  • Termination
    • Verably reserves the right to terminate these Terms and Conditions, including but without limitation to any licenses contained within, at any time and also reserves the right to terminate Your access to and use of the website and product.
    • Verably also reserves the right to use its sole discretion to determine that You have or have not failed or refused to comply with any or all of these Terms and Conditions.
    • These Terms and Conditions are effective unless and until terminated by either You or Us. Termination of these Terms and Conditions can be done at any time by ceasing to use Our website, or by giving Us notice that You wish to discontinue with Our Services.
    • You agree that upon termination of Your account and for three subsequent years, Verably has the right to retain Your data on our system.
  • Third-Party Links
    • Our website may contain content from third party websites that are not affiliated with Us.
    • We are not responsible for examining the content, accuracy, or reliability of third party websites that may be linked from Our website.
    • We are not liable for any interaction made with a third-party website, and You agree to review the Terms and Conditions of the third-party website or make contact with the third-party before engaging in any transaction.
  • User Content Moderation
    • We may, but have no obligation to, monitor, edit or remove content that we determine in Our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, commercial advertising or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
    • Organizations and Administrators of Organizations have the ability and responsibility to moderate the posts that are made on their page. Those Organizations and Administrators will have the ability to contact Verably and make requests to remove any post made by any party. The removal can be done without notice and at the sole discretion of Verably.
  • In-person Meetings
    • All individuals are required to take personal responsibility for their own safety when attending events with other individuals as organized by organizations using the Verably website. All in-person meetings arranged, organized, or listed on Verably are entirely at the discretion and risk of the individual, and individuals are required to take precautions to protect their own safety.
    • Under no circumstance will Verably, its owners, employees, affiliates, contractors, suppliers, or licensors be liable to You or any third-party for any harm, damage, injury, loss, or claim.
  • Billing Cycle and Payments
    • Payments are completed through a secure third party service, therefore We do not retain any credit card information on Our servers.
    • Monthly recurring payments will be made once a month, starting on the date of the first payment.
    • All monthly subscriptions renew automatically until canceled by the User.
    • We are not responsible for bank fees or penalties. If Your credit card declines on any renewal date, We will re-attempt to collect the payments after 3 days, and if this is unsuccessful We reserve the right to automatically terminate Your subscription.
    • This agreement will constitute Your copy of Your recurring payment authorization to Verably.
  • Modification of Services, Pricing, and Billing Terms
    • We reserve the right to modify prices at any time and without notice, with respect to the products, discounts, or taxes in association with Our products.
    • You agree to pay all charges in accordance with the billing terms in effect at the time the charge becomes payable.
    • We reserve the right to discontinue or introduce Services (or content thereof) at any time without notice.
  • Dispute of Credit Card Charges
    • If You have a dispute regarding credit card charges, You may contact the Verably support team in writing to address the issue within a 90-day period. You agree that Verably is not liable for any charges or errors left unaddressed in writing within this 90-day period.
  • Limitations and Restrictions
    • Under no circumstance will Verably, its owners, employees, affiliates, contractors, suppliers, or licensors be liable to You or any third-party for any harm, damage, injury, loss, or claim, including without limitation lost revenue, lost or damaged data or economic loss arising from Your use of any of the Services, or for any other claim related in any way, directly or indirectly to Your use of the Service, or inability to access and/or use the Service.
  • Governing Law
    • Verably's terms and conditions and privacy policies are governed in accordance with the provincial laws of British Columbia and the applicable federal laws of Canada, without regard to its conflicts of laws provisions. You agree to submit and attorn to the this government's exclusive jurisdiction.

      • using payment method preferences and related financial information that You provide to Verably so that Verably can obtain payment for the Services that You request;
      • using customer relationship information such as Your Service requests, instructions, comments and feedback to assist Verably in delivering the Services and the Platform in accordance with Your preferences;

    • As a parent or guardian of a minor, You may contact Verably to inform us if Your child has provided Personal Information to Verably. We reserve the right to remove Personal Information that was provided to us without parental consent. We must receive your request in writing.
  • Retention and Destruction of Personal Information
    • Personal information of an individual will be retained and used for the purposes of operating the Verably website.
    • Personal information will be deleted after 3 years of inactivity on the System.
    • Organization information will be retained indefinitely after inactivity or account termination for the purposes of operating Our System and maintaining the validity and robustness of our Validation infrastructure.
      • Information from an organization's Verably account is not determined personal Information if it does not identifiably link to a specific individual that is not employed by an organization. Information about individuals employed by an organization is not classified as Personal Information.

  • Accuracy and Completeness of Personal Information
    • As a User of the Service, You have the ability to make changes to your Personal Information to ensure that it is current and accurate at any time.
    • Verably will only collect Personal Information that is provided by You, and any of this information that is provided by You is accessible and editable at any time, at Your discretion.
  • Security of Personal Information
    • The security of your Personal Information is important to us. However, no method of transmission over the Internet, or method of electronic storage is 100% secure. While we strive to use commercially reasonable means to protect your Personal Information, we cannot guarantee its absolute security.
    • Your log-in requires You to provide a password. It is Your responsibility to ensure that You do not share Your password.
